【集团银行制】集团银行制又称持股公司制，系指由一个经济法人发起组织成立一家持股公司，再由该公司控制或收购一家或两家以上银行所形成的一种商业银行制度。发起组织持股公司的经济法人可以是银行，也可以是非银行。如果是由银行发起组织的持股公司，则是银行性持股公司;如果是由非银行发起组织的持股公司，则是非银行性持股公司。持股公司可控制或收购一家银行，也可控制或收购两家或两家以上的银行，如果是前者，称“单一银行持股公司”，如果是后者，称“多银行持股公司”。控制或收购银行的办法是持有该银行的相当数量的股票，某银行的股票被控制或收购后，则该银行便有了一家持股公司。持股公司是一级法人，从法律的观点看，是持股公司拥有银行，但实际上是银行操纵持股公司，因为被控制或收购的银行是基础，是银行的股票构成持股公司的资产。 持股公司是美国单一银行制的产物。在单一银行制度下，不许设立分支行，如允许组织持股公司，则持股公司便是变相的分支行，所以它是逃避银行法限制的产物。 持股公司不能从事银行业务，但允许从事与银行业务有关的非银行业务，如可以开办财务公司、贴现公司、电子计算机公司等，这实际上扩展了银行业务。此外，持股公司还可以采取特殊方式筹集资金，如发行短期票据筹集(银行是不允许以这种方式筹集资金的)，然后转给被持股的银行以扩大资金来源。所以，持股公司实际上是银行的“附属机构”，它在相当大的程度上弥补了不能开设分支行的缺陷。 美国按银行法规定，持股公司不能在州外拥有银行，但能够拥有“非银行的银行”和“有限服务的银行”。拥有的办法就是收购某一家银行的股票后，然后把这家银行的工商业贷款、存款转出去，因为有的州的银行法把银行定义为“发放工商业贷款和吸收存款的金融机构”，如果收购后把工商业贷款、存款转出去了，就不是法律含义上的银行了，但还能够以其他方式取得资金来源，还能够从事非工商企业贷款如消费性贷款等，这样就成为“非银行的银行”或“有限服务的银行”。 集团银行制的优势是:(1)能绕过法规的限制扩展业务:(2)能以其他方式筹集资金，增强银行实力;(3)能提供多种金融服务，扩大影响;(4)能从其他渠道增加收益;(5)能降低、分散风险;等。但其主要的优势是为银行业的兼并奠定了组织基础。特别是“多银行持股公司”为发展为集团银行创造了条件。
