The Sociological Study of Law on Company Power and Social Responsibility;

The collocation of company power can achieve optimal improvement.

The basic point of judicial intervention is to protect the rights and interests of shareholders and promote the smooth operation of company power.

Coleman ,in the view of sociological of law, to analyse the source and distribution in company and restriction out of company of the company authority,then from the point of view of power to introduce the balance of benefits in company structure and the rationality of social responsibility of company,at last according to the path to research into the theory of corporate power.

This article maintains that the idea that the corporate power is built up, at least partially, on the basis of the right of the stockholders is caused by misunderstanding of the source of corporate power.

Along with the authority strengthened, the ruler took measure of limit and strike, gentry clans was forced from contending to yielding, gradually withdrawing from the power center.

The paper also maintains that under circumstance of market econo- my, governments should transform their role from power center to information center and enhance healthy development of regional economy on condtion that enough information is ecquired.
