贸易术语一种重要的国际贸易惯例，指在国际[普遍采用的用来说明一定价格基础上买卖双方责任划分的简短的外文缩写。它是在国际贸易的长期实践中形成的，每一种贸易术语都有特定的含义，不同的贸易术语，表明买卖双方各自承担的责任、费用和风险。如果在合同中订明使用某种贸易术语，那么买卖双方就要受其约束。 贸易术语主要有以下几个作用:①确定交货的地点和方式。②确定由买方还是由卖方负责安排货物的运输和办理货物运输保险。③确定货物的风险由卖方转移于买方的时间与地点。④确定是由卖方还是由买方负责取得并提供各种装运单据及其他单据。⑤确定买卖双方的费用负担，如由谁支付运费、保险费和缴纳进出口税等。用于解释国际贸易术语的主要有:国际商会制定的《国际贸易术语解释通则》、美国对外贸易协会制定的《美国对外贸易定义》(1941年修订本)和国际法协会制定的《1932年华沙一牛津规则》。国际贸易术语的产生，对简化贸易手续，方便合同的签订，缩短成交过程和促进国际贸易的发展有积极的意义。同时，它又确定了合同性质，明确了买卖双方所应承担的责任、费用和风险。
